The terms of using this site.

These Terms and Conditions (“Terms”) constitute a binding agreement between you and PROVN Sports (“PROVN,” “we,” “us,” or “our”), a Kansas company. By accessing or using provnsports.com (the “Site”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

These Terms incorporate by reference our Privacy Policy and Legal & Compliance Overview available on the Site.

PROVN Sports is a sports representation firm operating within the OpalKadia ecosystem. Our services include, among others:

• —Name, Image, and Likeness (NIL) representation for high school and collegiate athletes
• —Brand partnership development and negotiation
• —Athlete identity and content development
• —Media and content production
• —Career development support across the athlete lifecycle
• —Access to the broader OpalKadia network for reserved services

Professional agent representation for NFLPA, NBPA, and NFL league contracts is subject to and dependent upon completion of the relevant league certifications, which are in progress. PROVN does not represent athletes in league-contract negotiations until those certifications are obtained for the relevant agent of record.

The Site is intended for users who are at least 18 years old or using the Site under parental or guardian supervision. Inquiries involving prospective athletes who are under 18 must be submitted or authorized by a parent or legal guardian.

You represent and warrant that the information you provide through the Site is accurate and that you are authorized to submit it.

Submission of an inquiry through this Site does not create an agency, representation, attorney-client, fiduciary, or contractual relationship with PROVN. Representation is established only through a separately executed written representation agreement signed by PROVN and by the athlete (and, for minors, by a parent or legal guardian) following mutual diligence.

Content on the Site is provided for informational purposes only and should not be construed as legal, financial, tax, investment, or medical advice.

The Site and all its content, including but not limited to the PROVN Sports name, logo, brand marks, text, graphics, photographs, videos, design, and code, are owned by PROVN Sports or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may view the Site for personal, non-commercial use. Any other use, including reproduction, distribution, modification, commercial use, or creation of derivative works, requires our prior written permission.

Athlete names, images, and likenesses featured on the Site are used with the express written authorization of the athlete (and, for minors, their parent or guardian). Such use does not grant third parties any right to use athlete names, images, or likenesses for any purpose.

When you submit information, inquiries, or other content through the Site (each, a “Submission”), you grant PROVN a non-exclusive, worldwide, royalty-free license to use the Submission solely for the purpose of responding to your inquiry and providing services.

You represent and warrant that (a) your Submission is accurate, (b) you own or have the rights to submit the content, and (c) your Submission does not violate any third-party rights or applicable law.

Do not submit confidential information you are not authorized to share, and do not submit information about any minor without proper parental or guardian authorization.

You agree not to:

• —Use the Site in any manner that violates applicable law or regulation
• —Attempt to interfere with, compromise, or disrupt the Site or its security
• —Impersonate any person or entity, or misrepresent your affiliation
• —Collect information from the Site through automated means or scraping
• —Attempt to reverse engineer or derive source code from the Site
• —Submit false information or submit information about others without authorization

The Site may contain links to third-party websites, services, or videos (for example, video platforms, social media, mission partner websites, and form-processing providers). PROVN does not control these third parties and is not responsible for their content, practices, or policies.

Your use of any third-party service is subject to that service's terms and privacy policy.

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROVN DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVN, OPALKADIA, AND THEIR AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED US DOLLARS ($100 USD) OR THE AMOUNT YOU PAID TO PROVN FOR USE OF THE SITE, WHICHEVER IS GREATER. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

You agree to indemnify, defend, and hold harmless PROVN Sports, OpalKadia Kapital, and their respective affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles. The state and federal courts located in Johnson County, Kansas, shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Site.

The parties agree to attempt in good faith to resolve any dispute through informal negotiation before initiating legal proceedings. This Section does not limit either party's right to seek injunctive or equitable relief.

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
